Welcome to Oglle. These Terms of Service ("Terms") govern your access to and use of the Oglle website, applications, services, and technical marketplace infrastructure (collectively, the "Platform"). By creating an account or accessing the Platform, you agree to be bound by these Terms and all incorporated policies.

PLATFORM AGENCY & ESCROW ROLE: Oglle LLC serves as an official technical infrastructure provider, escrow manager, and commercial brokerage platform. Oglle connects independent creators, buyers, enterprise media buyers, and licensing partners worldwide.

1. Account Registration & Eligibility

To access certain features, including listing or purchasing AI assets, you must register for an account. You must provide accurate, current, and complete information during registration. You are responsible for safeguarding your credentials and for all activities occurring under your account.

2. Global Commercial Transactions & Currency

All listings, platform service fees, licensing transactions, option payments, and backend distributions on Oglle are denominated, quoted, and settled in United States Dollars (USD):

  • Payment Processing: Transactions are securely processed via platform-integrated payment gateways. Buyers are responsible for any applicable local taxes, conversion fees, or bank handling charges.
  • Escrow & Disbursements: Funds collected from commercial licenses, theatrical adaptations, or merchandising royalties are held in platform-managed escrow accounts prior to authorized disbursement to creators.

3. Intellectual Property & Commercial Brokerage

Oglle respects intellectual property rights and acts as the sole authorized marketplace and licensing agent for transactions executed on the Platform:

  • Creator Ownership: Creators retain underlying copyrights to their original AI assets, models, scripts, and media uploads, subject to the commercial rights granted to Oglle upon listing.
  • Platform Agency Rights: By listing assets on Oglle, creators grant the Platform the exclusive right to facilitate licensing, manage escrow distributions, and broker high-tier commercial agreements (including theatrical adaptations and physical merchandising).
  • Prohibition of Circumvention: Users agree not to bypass the Platform or execute off-platform commercial agreements for assets listed on Oglle.

4. Enterprise Deals & Confidentiality (NDA)

High-tier commercial licensing, major film/streaming adaptations, and physical product merchandising deals brokered via the Oglle IP Desk are governed by custom non-disclosure agreements (NDAs) and custom enterprise contracts. Specific financial terms, royalty splits, and strategic business data remain strictly confidential between contracting parties and Oglle.

5. Limitation of Liability & Account Termination

Oglle reserves the right to suspend or terminate accounts that violate these Terms, infringe third-party intellectual property, or engage in fraudulent activities. The Platform is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind regarding third-party asset performance or uninterrupted service.
